1. Agreement to Terms

By accessing or using TopReact ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

2. Description of Service

TopReact is an AI-powered feedback intelligence platform that helps businesses collect, analyze, and act on user feedback. The Service includes:

• Embeddable feedback widget for websites and applications
• AI-powered feedback classification and sentiment analysis
• Analytics dashboard and reporting tools
• Team collaboration features
• Integration with third-party services

3. User Accounts

3.1 Account Creation

To use certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

3.2 Account Eligibility

You must be at least 18 years old to create an account. By creating an account, you represent and warrant that you meet this age requirement.

4. Subscription Plans and Billing

4.1 Pricing

TopReact offers various subscription plans as described on our pricing page. Prices are subject to change with 30 days' notice to existing subscribers.

4.2 Free Trial

We may offer a free trial period for certain subscription plans. During the trial:

• You have access to all features of your selected plan
• No credit card is required to start the trial
• The trial automatically ends after the specified period
• You will not be charged unless you upgrade to a paid plan

4.3 Billing

For paid subscriptions:

• Billing cycles are monthly or annual, as selected
• Subscriptions automatically renew unless canceled
• Payment is processed via Stripe, our payment processor
• You authorize us to charge your payment method on each billing cycle
• Failed payments may result in service suspension or termination

4.4 Refunds

We offer a 30-day money-back guarantee for first-time subscribers. To request a refund:

• Contact support within 30 days of your initial purchase
• Refunds are processed to the original payment method within 5-10 business days
• Refunds are not available for renewals or enterprise plans

4.5 Cancellation

You may cancel your subscription at any time through your account settings or by contacting support. Upon cancellation:

• You retain access until the end of your current billing period
• No refund is provided for the remaining portion of your billing cycle
• Your data is retained for 90 days before deletion
• You may reactivate your account within the data retention period

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others
• Transmit malware, viruses, or harmful code
• Harass, abuse, or harm other users
• Collect user data without proper consent
• Reverse engineer or attempt to extract source code
• Use the Service for competitive analysis or benchmarking
• Exceed reasonable usage limits or abuse system resources

6. Intellectual Property

The Service, including all content, features, functionality, software, and design, is owned by TopReact and protected by copyright, trademark, and other intellectual property laws.

You retain all rights to the feedback data and content you collect through the Service. By using the Service, you grant us a license to:

• Process and analyze your data to provide the Service
• Use anonymized, aggregated data to improve the Service
• Display your content within the Service dashboard and reports

Any feedback, suggestions, or ideas you provide about the Service become our property, and we may use them without restriction or compensation.

• Specific uptime percentages (except for Enterprise SLA agreements)
• Availability of specific features at all times

We may suspend or terminate the Service for maintenance, updates, or other reasons with or without notice, except as specified in Enterprise SLA agreements.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED
• WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE PRECEDING 12 MONTHS
• WE ARE NOT RESPONSIBLE FOR THIRD-PARTY SERVICES OR INTEGRATIONS

10. Indemnification

You agree to indemnify and hold harmless TopReact, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Content you collect or process through the Service

11. Changes to Terms

We reserve the right to modify these Terms at any time. When we make changes:

• We will update the "Last updated" date at the top of this page
• We will notify you via email or in-app notification for material changes
• Your continued use of the Service constitutes acceptance of the modified Terms
• If you disagree with changes, you must discontinue use of the Service

12. Termination

We may suspend or terminate your account and access to the Service:

• For violation of these Terms
• For fraudulent or illegal activity
• For non-payment of subscription fees
• At our sole discretion with or without cause

Upon termination, your right to use the Service immediately ceases, and we may delete your data after the retention period.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Delaware.

14. Dispute Resolution

14.1 Informal Resolution

Before filing a claim, you agree to contact us at support@topreact.com to attempt informal resolution.

14.2 Arbitration

For disputes not resolved informally, you agree to binding arbitration under the rules of the American Arbitration Association, except for:

• Small claims court actions
• Intellectual property disputes
• Injunctive relief requests

15. Miscellaneous

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and TopReact regarding the Service.

15.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

15.4 Assignment

You may not assign or transfer these Terms without our written consent. We may assign these Terms without restriction.
